Non Disclosure Agreement

  1. 1. Parties and purpose. This non disclosure agreement is between [Disclosing party] (the "Disclosing Party") and [Receiving party] (the "Receiving Party"). The Disclosing Party will share confidential information with the Receiving Party for [purpose].
  2. 2. Confidential information. Confidential information means any non public business, technical, financial or personal information shared for that purpose, in any form, whether marked confidential or not.
  3. 3. Obligations. The Receiving Party will use confidential information only for that purpose, keep it secure, and share it only with people who need it for that purpose and are bound by confidentiality duties at least as strict as these.
  4. 4. Exclusions. This agreement does not cover information that is or becomes public through no fault of the Receiving Party, that the Receiving Party already knew or developed independently, or that the Receiving Party lawfully received from someone else without a duty of confidentiality.
  5. 5. Required disclosure. If a law, regulator or court requires disclosure of confidential information, the Receiving Party may disclose it after giving the Disclosing Party prompt notice where the law allows.
  6. 6. Return or deletion. When the Disclosing Party asks, the Receiving Party will return or delete confidential information and any copies.
  7. 7. Term. These obligations last for 2 years from the date this agreement is signed, and for trade secrets, for as long as they remain trade secrets.
  8. 8. No license. Sharing confidential information does not give anyone ownership of it or any license to it.
  9. 9. Protected reporting. Nothing in this agreement stops anyone from reporting possible violations of law to a government agency or making other disclosures protected by whistleblower laws.
  10. 10. Remedies. A breach may cause harm that money cannot fully repair, so the Disclosing Party may seek an injunction in addition to any other remedy.
  11. 11. Governing law. This agreement is governed by the laws of [state or country].

By signing below, the Receiving Party confirms that it has read and agrees to this agreement.

How to use the NDA generator

  1. Choose one way or mutual. Pick one way when only you share information, such as with a contractor. Pick mutual when both sides share, such as in a partnership discussion.
  2. Fill in the details. The parties, what the information is shared for, how many years the duty lasts, and the governing law.
  3. Copy or download the agreement. Anything you leave blank stays as a bracketed placeholder, so nothing is missed.
  4. Get it signed. Send it for signature online, or paste it into your own document.

What goes into an NDA

This generator covers the clauses most everyday NDAs include:

  • Confidential information: what the agreement protects.
  • Obligations: use it only for the agreed purpose and keep it secure.
  • Exclusions: information that is already public or known is not covered.
  • Required disclosure: what happens if a court or regulator asks for it.
  • Return or deletion: information comes back, or is deleted, when asked.
  • Term: how long the duty lasts, with trade secrets protected for as long as they stay secret.
  • Protected reporting: nobody is stopped from reporting possible violations of law.
  • Remedies and governing law: what each side can do after a breach, and which laws apply.

One way or mutual NDA?

A one way NDA protects one side's information. It suits hiring, contractors and investors reviewing your plans. A mutual NDA protects both sides. It suits partnerships, mergers and joint projects where both sides share.

How long should an NDA last?

Two to five years is common for business information. Trade secrets are different: they stay protected for as long as they remain secret, which this agreement already covers.

Before anyone signs

Read the agreement through and have it reviewed for your situation, especially for large deals or work in another country. Then collect signatures in a way that records who signed and when, so you can show it later.
