This agreement is between [Company name] (the "Company") and the person signing this form ("you").

  1. Confidential information means any non-public business, technical, financial, or personal information the Company shares with you, in any form, for the purpose you selected in this form.
  2. Your obligations. You will use confidential information only for that purpose, keep it secure, and share it only with people who need it for that purpose and are bound by confidentiality duties at least as strict as these.
  3. Exclusions. This agreement does not cover information that is or becomes public through no fault of yours, that you already knew or developed independently, or that you lawfully received from someone else without a duty of confidentiality.
  4. Required disclosure. If a law, regulator, or court requires you to disclose confidential information, you may do so after giving the Company prompt notice where the law allows.
  5. Return or deletion. When the Company asks, you will return or delete confidential information and any copies.
  6. Term. Your obligations last for [2] years from the date you sign, and for trade secrets, for as long as they remain trade secrets.
  7. No license. Sharing confidential information does not give you ownership of it or any license to it.
  8. Protected reporting. Nothing in this agreement stops you from reporting possible violations of law to a government agency or making other disclosures protected by whistleblower laws.
  9. Remedies. A breach may cause harm that money cannot fully repair, so the Company may seek an injunction in addition to any other remedy.
  10. Governing law. This agreement is governed by the laws of [state or country].

What does the NDA Form collect?

Is an NDA signed through an online form legally binding?
